While reviewing the IP License Agreement provided in the tender documents, we noted a requirement for The Supplier(the Licensee) to pay a licence fee to QUT for the right to use its marks, systems, and software. Please clarify on:



1. Licence Fee Structure: As the fee amount is currently left blank, could you please confirm the intended commercial arrangement? In our standard engagements, access to client systems, software, and brand assets is provided without a separate licensing fee, as the use is strictly limited to delivering the requested services.

2. Agreement Structure: In similar service engagements, IP licensing terms are typically integrated directly into the Master Services Agreement (MSA) rather than executed as a standalone agreement. Could you confirm if executing a separate IP Licence Agreement is a mandatory requirement for QUT? 6. Could QUT confirm its preferred contracting model? Specifically, does QUT require the contract to be executed with an Indian legal entity, or would it be acceptable to contract with an Australian-based entity providing governance and oversight while leveraging an offshore delivery team for operational services?

7. Could QUT please clarify its expectations regarding applicant verification requirements, including:

a. Standard verification: Does QUT expect document authentication, attestation, and cross-document consistency checks as part of the assessment process?

b. Advanced verification: Does QUT expect suppliers to utilise Indian government-enabled verification services, such as:

i. DigiLocker for verification of government-issued digital documents; and/or

ii. Aadhaar e-KYC for electronic identity verification?

c. Application of advanced verification: Should these enhanced verification measures be applied to all applicants, or only to higher-risk, exception-based, or escalated cases?
